IMPORTANT NOTICE: SECTION 11 OF THIS DOCUMENT REQUIRES ARBITRATION ON AN INDIVIDUAL BASIS. PLEASE READ CAREFULLY.

1. Introduction

1.1 Service Offering

Autoflow ("we," "us," "our") provides a suite of software-as-a-service (SaaS) tools designed to optimize and manage rental fleet operations efficiently. These services include fleet management tools, analytics, booking management, contract templates, and other related offerings (collectively referred to as the "Services"). These Services are accessible via our platform located at http://getautoflow.io (the "Platform").

1.2 Updates to Terms

We reserve the right to revise and update these Terms of Service ("Terms") at our sole discretion. All changes become effective immediately upon posting on the Platform and apply to all subsequent access and use of the Services. By continuing to use the Platform after revisions are posted, you agree to be bound by the updated Terms. It is your responsibility to periodically review these Terms for updates.

1.3 Eligibility

You may not use the Platform or Services if you:

  • Are unable to form a legally binding agreement under applicable law;

  • Are located in a country subject to U.S. government embargoes or designated as "terrorist-supporting" by the U.S. government; or

  • Do not agree to these Terms in full.

Even where you are eligible to use the Platform, the Services and features available to you may be limited based on your country, your location, or applicable law, as described in Section 2.5.

1.4 Language and Translation

These Terms are provided in English. In the event of any discrepancy between a translated version and the English version, the English version shall prevail.

2. Services and Additional Terms

2.1 General Use of Services

The Services include tools to manage bookings, streamline fleet operations, generate analytics reports, and access contract templates. The contract templates are provided for informational purposes only and do not constitute legal advice. We make no guarantees regarding their suitability for specific circumstances. Users are advised to consult legal professionals to ensure compliance with local regulations.

2.2 Third-Party Integrations

The Platform integrates with various third-party services, including but not limited to payment processors, analytics providers, and digital contract management tools. These third-party services operate under their own terms and conditions, and we disclaim all responsibility for issues arising from their use. You are solely responsible for reviewing and accepting the terms of these third-party services before use. The availability of any particular integration or payment processor may vary by country and is subject to change.

2.3 Lawful Use

You agree to use the Platform and Services solely for lawful purposes. Prohibited activities include, but are not limited to:

  • Violating any applicable laws or regulations;

  • Infringing upon the rights of others; or

  • Interfering with or disrupting the functionality of the Platform or its related systems.

2.4 Service Limitations

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without prior notice. We shall not be liable for any unavailability or disruptions.

2.5 Availability of the Services and Features by Jurisdiction

The Services — and certain features, functionality, integrations, content, or pricing within the Services — may not be available in all countries or jurisdictions, and may vary depending on the country from which you register, the country in which you operate, or your location. We make no representation that the Services, or any particular feature, are appropriate, lawful, or available for use in any particular location. You access and use the Services on your own initiative and are solely responsible for compliance with all applicable local laws and regulations.

Without limiting the foregoing, certain features — including, without limitation, identity, insurance, and background-verification tools; payment-processing options; currency, fee, and tax handling; and other compliance- or jurisdiction-dependent functionality — are made available only in supported countries, and may be added, modified, restricted, withdrawn, or made conditional for any country at any time, with or without notice. Where a feature is not available in your country, it may be hidden, disabled, limited, or replaced with a notice within the Platform. We are under no obligation to provide any feature in any jurisdiction, and the absence, limitation, or removal of a feature does not entitle you to any refund, credit, or other compensation, except as expressly provided in our refund policy.

We may use information such as your registration country, the country you indicate you operate in, your billing information, your IP address, or other information to determine which features and currency are available to you, and you agree to provide accurate information for this purpose. The currency in which fees, charges, deposits, and other amounts are displayed and processed may be determined by your country; any currency conversion is handled by the applicable payment processor at its rates and is subject to that processor's terms.

3. Restrictions and Prohibited Uses

3.1 Platform Restrictions

The following actions are strictly prohibited:

  • Reverse engineering, decompiling, or attempting to extract the source code of the Platform;

  • Using the Platform to develop or promote competing software or services;

  • Introducing harmful code, such as viruses, worms, or malware;

  • Employing automated tools (e.g., bots or scrapers) to access or extract data from the Platform without prior authorization; and

  • Exploiting any aspect of the Platform in a manner inconsistent with these Terms.

3.2 Prohibited Content

You are prohibited from uploading, posting, or distributing content that:

  • Infringes on intellectual property rights;

  • Contains false, misleading, or defamatory information;

  • Promotes illegal activities or harm; or

  • Is deemed inappropriate, harmful, or offensive at our discretion.

4. Accounts and Security

4.1 Account Registration

To access the Services, you must create an account by providing accurate, current, and complete information. You are solely responsible for safeguarding your account credentials and all activities occurring under your account.

4.2 Security Obligations

You must take all necessary steps to protect your login credentials and sensitive information. We are not liable for unauthorized access resulting from your failure to secure your account.

4.3 Account Suspension and Termination

We reserve the right to suspend or terminate accounts suspected of unauthorized activity, misuse, or violations of these Terms. Such actions may occur without prior notice.

5. Payments and Billing

5.1 Payment Terms

All fees and charges related to the Services are detailed on the Platform. Payments are processed through third-party payment processors, and your use of these processors is subject to their respective terms of service. Fees, charges, deposits, and other amounts may be displayed and/or processed in a currency determined by your country. Any currency conversion is performed by the applicable third-party payment processor at its then-current rates and is subject to that processor's terms; we do not control conversion rates.

5.2 Refund Policy

Refund requests will be evaluated at our sole discretion. Please review our refund policy for detailed information before subscribing to any Services.

5.3 Late Payments

Failure to make timely payments may result in restricted access to the Services or termination of your account.

6. Chargebacks and Disputes

6.1 In the event of a payment dispute, chargeback, or refund claim initiated by a User's customer, the User is solely responsible for all associated costs and liabilities. Autoflow acts solely as a software platform and payment facilitator and is not a party to any transactions between Users and their customers.

6.2 If, due to a payment processor or system error, such a dispute or chargeback is processed against Autoflow instead of the responsible User, Autoflow reserves the right to recover the full disputed amount, plus any related fees, from the User. This may include, but is not limited to, automatically debiting the User's connected payment method or charging their Autoflow account balance.

6.3 Users agree to maintain accurate and valid payment methods on file to ensure successful resolution of such recoveries. Failure to do so may result in account suspension, termination, or legal action to recover outstanding balances.

7. Intellectual Property

7.1 Ownership

All content on the Platform, including but not limited to text, graphics, software, and trademarks, is owned by us or our licensors. You are granted a non-exclusive, revocable license to access and use the Platform for its intended purposes.

7.2 Restrictions

You may not:

  • Copy, modify, or create derivative works from any Platform content;

  • Use our trademarks or logos without prior written consent; or

  • Claim ownership of any intellectual property provided via the Platform.

8. Disclaimers

8.1 General Disclaimer

The Platform and Services are provided "as is" and "as available," without warranties of any kind, either express or implied. We disclaim all liability for errors in contract templates or disruptions in Service availability.

8.2 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages resulting from your use of the Platform or Services.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or losses arising from:

  • Your use of the Platform and Services;

  • Your breach of these Terms; or

  • Your violation of any rights, including intellectual property rights.

10. Termination

We reserve the right to terminate or suspend your access to the Platform and Services for any breach of these Terms or activities that harm the Platform or its users.

11. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles.

11.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, with the venue located in New York, New York. You waive the right to a jury trial or to participate in class actions.

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and us, superseding all prior agreements.

12.2 Severability

If any provision is deemed unenforceable, the remaining provisions shall remain in full force.

12.3 Assignment

You may not assign your rights under these Terms without prior written consent. We may assign our rights without restriction.
